121doc Online Clinic Affiliate Terms & Conditions

 This Agreement contains the complete terms and conditions applying to an individual's or entity's participation in the 121doc online clinic Affiliate Scheme (the "Scheme"). In terms of the agreement, "we" refers to 121doc Online Clinic; "you" refers to the applicant.

Enrolling as an affiliate

To begin the enrollment process, an applicant must be over the age of 18 years. You are required to submit a complete application via our website. We will then review your affiliate website within two working days. However, please note that we may reject your application if we determine (at our sole discretion) that your site is unsuitable for the Scheme.

Linking to our website

After you have enrolled as an affiliate, you can provide one or more links from your website/blog to any of our website. We will provide you with special link formats, designed for tracking and reporting any crossing traffic. You will be solely responsible for the running of any link formats. We do not accept any responsibility for the incorrect use of the special links / link formats and therefore we shall not be accountable for any loss of fees as a result of your errors.

E-Mail Marketing

Affiliates must follow the CAN-SPAM act 2003 for email marketing. If any affiliate is seen to be violating this act, they will be rejected without any notice, with all earned commission being cancelled.

Restrictions

Affiliates are strictly prohibited from using any 121doc logo, graphics, contents or any other copyrighted material.

Affiliates are not allowed to use any “121doc” keyword throughout its domain name, sub domain, blog name.

Moreover, affiliates are not permitted to use “121doc” keyword anywhere in their search engine marketing campaign.

Affiliates are also not allowed to use "121doc" keyword in their META or TITLE HTML tag on their website or blog.

Affiliates never can say that they are a part or subsidiary of 121doc.

Commission

Subject to the terms and conditions of this agreement, you will be paid commission for each customer referred from your site through the 121doc's link on your site, in the event that they successfully place an order for any of the treatments from our web sites.

If it is later found that the customer's purchase was refunded or charged back due to any reason, we retain the right to withhold any payments, resulting from that individual's purchases.

Affiliates will be eligible to obtain the commission on their own orders and reorders as well as 2-Tier commission for the sales generated by the affiliates referred by you.

The affiliate scheme relies on cookies, IP, browser session, flash cookies and server database to track customers. If for whatever reason, the customer isn't using cookies, or the cookie expires or is even deleted, they cannot be tracked, and thus you will not earn commission for any sales that customer may make. Our cookies are set to expire after one year.

Commission may not be paid to an affiliate if the details we hold are incorrect. It is equally, the affiliate's responsibility to make sure that 121doc Online Clinic Affiliate Team is notified of any change in their details such as email or postal address. We also reserve the right to cancel commission payments if we believe that any fraudulent activity is being used by the affiliate to generate commission.

Affiliates repeat sales will be tracked on the base of server database. Affiliates will be eligible to earn commission on repeat sales only if they are active. Inactive affiliates will not be eligible for receiving the commission on repeat sales.

Commission Schedule

You will earn an affiliate referral fee which is payable to you at the end of each month, provided the commission owed is more than $100.00. If commission earned during a particular month is less than $100, it will be carried forward to next month.

Payout Methods

121doc will pay you via Money Bookers, Pay Pal and Bank/Wire transfer. If you want to receive the money by any other methods, then send us a request regarding that.

You’re Responsible

You will be solely responsible for the registering domain name, development, operation, and maintenance of your website or blog and for all materials that appear on your site.

We are indemnified from all claims, damages, and expenses (including, without limitation, legal fees), relating to the development, operation, maintenance, and contents of your site as well as any goods or services provided, or made available by you. These obligations will survive any termination of this Agreement. You acknowledge and agree that your website information (name, URL, traffic counts, etc.) may be utilized by 121doc. Possible uses include (but are not limited to) creation of list of the busiest sites, lists of member sites, etc. The information provided by us may be proprietary in nature. You must also acknowledge that you are not a competitor of 121doc, and agree not to share this information with any of our competitors. Any violation of these terms and conditions may lead to the termination of this agreement.

Term

The terms of this agreement will begin upon our acceptance of your application and will end when terminated by either party. Either you or 121doc may terminate this agreement at any time, with or without cause, by giving the other party written or emailed notice of termination. We may withhold your final payment, in order to ensure that the correct amount is paid. In addition, your site is subject to periodic review. If we determine at any point after acceptance into our scheme that your site is no longer acceptable, we may unilaterally end the status of your site as an affiliate.

Modification

He hold the right to modify any of the terms and conditions contained in this agreement, at any time and in our sole discretion, through the posting of a new agreement on our website. Your continued participation now, or within thirty (30) days following the posting notice of any changes in these terms and conditions, will constitute a binding acceptance of these rules, on your behalf. You are well within your rights to terminate the agreement, if you are not prepared to adhere to any rule changes.

Limitation of Liability

We will not be liable for indirect, special or consequential damages (or loss of revenue, profits or data) arising in connection with this agreement or the affiliate scheme, even if we have been advised of the possibility of such damages. Furthermore, our aggregate liability, in respect of this agreement, and the affiliate scheme, will not exceed the total Affiliate Referral Fees paid or payable to you under this agreement.

Independent Investigation

You acknowledge that you have read this agreement, have had an opportunity to consult with your own legal advisors, and agree to all the terms and conditions set forth herein. You agree that, in interpreting this agreement, no weight shall be placed upon the fact that this agreement has been drafted by us, and you shall not assert that this agreement is unenforceable or invalid on the grounds that it is a contract of adhesion, that it is unconscionable. You must also comprehend that we may at any time, directly or indirectly, solicit customer referrals on terms that may differ from those contained in this agreement or operate websites that are similar to or compete with your website. You have independently evaluated the desirability of participating in the scheme and are not relying on any representation, guarantee or statement other than as set forth in this agreement.
